Purpose of these Terms
These Terms govern the purchase, allocation, access to and use of online training courses supplied through the Risk Safety Services Limited eLearning website and learning management system (LMS). They apply to individual customers and to businesses or organisations purchasing training for their personnel.
Business Customer means a business or organisation purchasing courses or learner licences. Consumer means an individual acting wholly or mainly outside their trade, business, craft or profession. Learner means the individual to whom a course is allocated. Course means online training, assessments, videos, documents and related digital content supplied through the LMS. Order means a purchase made through the website, Quote, invoice, order form or other agreed method.
A contract is formed when we accept an Order, confirm a purchase, accept a Quote or otherwise confirm that training will be supplied. The person ordering on behalf of a Business Customer confirms that they have authority to bind that organisation.
The terms applying to an Order are the version in force when the Order is accepted, together with any specific Quote, Order Form or written commercial terms agreed with the customer.
We will provide the Course described at the time of purchase. Course descriptions may state the subject, approximate duration, intended audience, access period, assessment method, pass mark, certificate arrangements and refresher/expiry period where applicable.
We may update course content to reflect good practice, legislation, guidance, accreditation requirements, technology or presentation improvements. Where an update materially affects a learner already part-way through a course, we will take reasonable steps to avoid unfairly preventing completion.
4.1 Individual purchases
An individual purchaser may buy a Course for their own use. The account and Course licence are personal to that learner and must not be shared.
4.2 Business purchases
A Business Customer may buy one or more learner licences and allocate them to authorised learners. Unless otherwise agreed, a licence is for one named learner and may not be shared concurrently between multiple people. The Business Customer is responsible for providing accurate learner details and ensuring that it is entitled to provide them to us.
Learners must provide accurate information, protect their login credentials and use only their own account. We may require email verification, password reset or other security steps. Accounts may be suspended where reasonably necessary to protect the LMS, investigate misuse or enforce these Terms.
Course access begins when the Course is made available to the learner or at another time stated in the Order. Any access period will be stated at purchase, in the learner account or in the applicable business agreement. Access may end when the access period expires, the Course is completed, the contract ends or access is suspended in accordance with these Terms.
Where a Course includes an assessment, the applicable pass mark and permitted attempts will be shown in the Course or course information. Learners must complete assessments themselves unless the Course expressly permits collaborative activity. We may invalidate a result where there is reasonable evidence of impersonation, account sharing, cheating or manipulation of the LMS.
A certificate may be issued when the learner satisfies the stated completion requirements. Certificates may include a unique number or QR verification reference. A certificate confirms completion of the stated Course; it does not by itself prove competence to carry out work for which separate practical training, supervision, licensing or assessment is required.
Where an accreditation or approval logo is displayed, it applies only to the Course or programme for which that accreditation or approval has been granted and must not be interpreted more broadly.
Prices will be shown on the website, Quote, invoice or Order Form and are subject to VAT where applicable. Payment must be made using the permitted payment method or within the agreed invoice period. We may withhold or suspend access where undisputed sums remain overdue after reasonable notice.
Consumers may have a 14-day cancellation right for distance contracts. However, where a Consumer asks us to begin supplying digital content during that period, we will ask for express consent to immediate supply and acknowledgement that the cancellation right will be lost once supply begins. If those requirements are not satisfied, statutory cancellation rights remain unaffected.
Further details are in the eLearning Cancellation & Refund Policy. Nothing in these Terms removes statutory rights that cannot lawfully be excluded.
Digital content supplied to Consumers must meet applicable statutory standards. Where a Course is faulty or does not conform to the contract, the Consumer may have statutory rights to repair/replacement or, where the legal conditions are met, a price reduction or refund. Business customers retain any rights expressly agreed in the contract or available under applicable law.
All intellectual property rights in the LMS, Courses, videos, graphics, assessments, questions, documents and other materials belong to Risk Safety Services Limited or its licensors. The purchaser receives only the limited right to access and use the Course for the permitted learner(s). The separate Digital Content & Course Licence forms part of these Terms.
sharing learner accounts or course access with unauthorised persons;
recording, screen-capturing, copying or distributing substantial Course content except where expressly permitted;
selling, sublicensing or commercially exploiting Course material;
attempting to bypass assessment, access or security controls;
reverse engineering or attempting to derive LMS source code except where the law prevents such restriction;
uploading malware or interfering with the operation of the LMS; and
using another person to complete training or an assessment on a learner's behalf.
The LMS requires a suitable internet connection and a current supported browser/device. We will use reasonable efforts to maintain availability but do not guarantee uninterrupted access. Planned maintenance, updates, internet failures, third-party outages, security incidents or events outside our reasonable control may affect availability.
Online training supports workplace learning but does not replace an employer's duty to determine what training, practical instruction, supervision, competency assessment or site-specific information is required. Business Customers remain responsible for deciding whether a Course is suitable for their personnel and compliance needs.
Personal information is handled in accordance with the eLearning Privacy Notice. Where a Business Customer provides learner information and Risk Safety Services Limited processes it on that customer's behalf, the Data Processing Schedule in Schedule 2 applies.
We may suspend or terminate access where reasonably necessary because of non-payment, unlawful use, account compromise, material breach, security risk or misuse. On expiry or termination, access to Courses may end. Training and certificate records may be retained in accordance with the Privacy Notice and applicable retention requirements.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
For Business Customers only, and subject to the previous paragraph, our aggregate liability arising from the relevant eLearning Order will not exceed 100% of the fees paid or payable for that Order during the 12 months preceding the event giving rise to the claim, or the total fees for the Order if the service period is shorter. This limitation does not reduce any non-excludable Consumer rights.
We may update these Terms where reasonably necessary because of changes in law, regulation, technology, security, course functionality or business operations. The version applying to an existing Order will not be changed retrospectively in a way that removes accrued rights without lawful basis.
These Terms are governed by the laws of England and Wales. If you are a Consumer, you may also benefit from mandatory protections of the law applicable where you live. Nothing in these Terms removes those protections where they apply.
the applicable Quote, Order Form or Order confirmation;
these eLearning Terms and Conditions;
the Digital Content & Course Licence;
the Cancellation & Refund Policy where applicable;
the eLearning Privacy Notice; and
any other document expressly incorporated into the Order.
Where a Business Customer is controller and Risk Safety Services Limited processes learner Personal Data on its behalf, Risk Safety Services Limited will: process that data only on documented instructions; ensure authorised personnel are subject to confidentiality obligations; maintain appropriate security measures; assist with data subject requests and applicable security/breach obligations; notify the customer without undue delay after becoming aware of a relevant personal data breach; use sub-processors subject to appropriate contractual protections; make available information reasonably necessary to demonstrate compliance; and, at the end of the service, delete or return Personal Data in accordance with the customer's instructions and applicable law.
Processing may include learner identity/contact information, employer/role information, course allocations, progress, scores, completion and certificate records, account and audit information. The duration is the applicable service term plus any reasonable export, retention, backup or legal period. Material sub-processors and international transfers will be managed in accordance with applicable UK data protection law.
